1. Acceptance of Terms
Welcome to ApZippy! These Terms of Service (the "Terms") govern your access to and use of the ApZippy mobile application (the "App"), our website (the "Site"), and all related services, features, content, and software (collectively, the "Services"). By accessing or using our Services, you ("User" or "you") agree to be bound by these Terms. If you do not agree to these Terms, you1 may not access or use our Services.
2. Description of Services2
ApZippy is a technology platform that enables users to browse menus of participating restaurants ("Restaurants"), place orders for food and beverages ("Orders"), and have those Orders delivered to their designated location. ApZippy acts as an intermediary between you and the Restaurants and delivery partners ("Delivery Partners").
3. User Accounts
3.1. Account Creation: To use certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information3 during the registration process and to update such information to keep it accurate, current, and complete.
3.2. Account Security: You are responsible for maintaining4 the confidentiality of your account login credentials and for all activities that occur under your account. You5 agree to notify ApZippy immediately of any unauthorized access to or use of your account. ApZippy will not be liable for any loss or damage arising from your failure to comply with this section.
3.3. Eligibility: By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
4. Ordering and Payment
4.1. Order Placement: When you place an Order through the App, you are making an offer to the relevant Restaurant to purchase the items in your Order. The Restaurant has the discretion to accept or reject your Order. If your Order is accepted, you will receive a confirmation through the App. Customer is fully responsible for setting a correct location on Google Map (provided inapp) before confirming order. ApZippy shall not be responsible for delays due to inacurate location set by the customer. Additionally, if the order is not recieved by the customer (other than food quality and hygeine matter), ApZippy shall have the liberty to ban the customer from the platform temporarily and be be extended permanenty as felt needed.
4.2. Menu and Pricing: Restaurant menus and prices displayed on the App are determined by the Restaurants and are subject to change without notice. ApZippy is not responsible for any inaccuracies or discrepancies in the menu information or pricing provided by the Restaurants. Product images shown on the App may not match exactly with the delivered Items in appearance as we use representational images in the App. ApZippy or any sellers shall not be held liable in any form for the specific mismatch of the item images. However, we do our best to keep highest level of quality and tastes of the food enlisted on the App.
4.3. Fees and Charges: You agree to pay the total amount for your Order, including the cost of the food and beverages, applicable taxes, delivery fees (if any), and any other charges as displayed in the App at the time of your Order. ApZippy reserves the right to introduce new fees or modify existing fees at any time, with reasonable notice.
4.4. Payment Processing: Payments for Orders are processed through third-party payment processors. You agree to be bound by the terms and conditions of these payment processors. You authorize ApZippy and our payment processors to charge your chosen payment method for the total amount of your Order.
4.5. Cancellations and Refunds: Cancellation policies vary by Restaurant. Please review the specific Restaurant's cancellation policy before placing your Order. ApZippy may, at its sole discretion, offer refunds or credits in certain circumstances. Please refer to our Refund Policy (which may be posted separately) for more information.
5. Delivery
5.1. Delivery Service: Once your Order is accepted by the Restaurant, it will be prepared and made available for delivery. Delivery will be performed by independent Delivery Partners.
5.2. Delivery Time: Estimated delivery times are provided for your convenience and are not guaranteed. Actual delivery times may vary due to factors beyond our control, such as inacurate location set by user(s), traffic, weather conditions, and Restaurant preparation times.
5.3. Delivery Location: You are responsible for providing an accurate and accessible delivery address. If you provide an incorrect or incomplete address, your Order may be delayed or undeliverable, and you may not be entitled to a refund.
5.4. Contactless Delivery: ApZippy may offer contactless delivery options. By selecting this option, you agree to the specific procedures outlined in the App.

7. Intellectual Property
The App, Site, and all content included therein (including but not limited to text, graphics, logos, images, software, and the design and layout of the Services) are owned by or licensed to ApZippy and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, display, or create derivative works11 of any part of the Services without our prior written consent.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. APZIPPY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,12 AND NON-INFRINGEMENT. APZIPPY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. APZIPPY DOES NOT WARRANT THE QUALITY, SAFETY, OR LEGALITY OF THE FOOD AND BEVERAGES PROVIDED BY THE RESTAURANTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APZIPPY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS13 OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES,14 EVEN IF APZIPPY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL APZIPPY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO APZIPPY IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
10. Indemnification
You agree to indemnify, defend, and hold harmless ApZippy, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys'15 fees) arising out of or relating16 to your breach of these Terms, your use of the Services, or your violation of any law or the rights of a third party.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Ziro, Lower Subansiri, Arunachal Pradesh.
12. Modifications to the Terms
ApZippy reserves the right to modify these Terms at any time by posting the revised Terms on the Site or App. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically for any updates19 or modifications.
13. Termination
ApZippy may terminate or suspend your access to all or any part of the Services at any time, with or without cause, and without prior notice or liability. Upon termination, your right to use the Services will immediately cease.20
14. Entire Agreement
These Terms constitute the entire agreement between you and ApZippy regarding your use of the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between21 you and ApZippy.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall22 remain in full force and effect.

Additional Terms of Service (for Restaurants/Sellers).

These additional terms apply to Restaurants ("you" or "Restaurant") who partner with ApZippy to offer their food and beverages through our Services. By registering as a seller on ApZippy, you agree to be bound by these terms in addition to the general Terms of Service outlined above, which also apply to you unless explicitly stated otherwise. In case of any conflict between these Seller Terms and the general Terms of Service, these Seller Terms shall prevail.
1. Restaurant Registration and Account** 1.1. **Account Creation:** To become a participating Restaurant on ApZippy, you must create a seller account and provide accurate and complete information about your restaurant, including but not limited to your legal name, address, contact details, menu, pricing, operating hours, and any necessary licenses and permits as required by law in Arunachal Pradesh, India. 1.2. **Account Verification:** ApZippy reserves the right to verify the information you provide and may require additional documentation to confirm your eligibility to operate as a Restaurant on our platform. Failure to provide accurate or complete information may result in the suspension or termination of your account. 1.3. **Account Management:** You are responsible for maintaining the confidentiality of your seller account login credentials and for all activities that occur under your account. You agree to promptly notify ApZippy of any unauthorized access to or use of your account. 1.4. **Restaurant Profile:** You are responsible for the content of your Restaurant's profile on the App, including menu descriptions, images, pricing, and any other information displayed to users. You warrant that all such information is accurate, up-to-date, and compliant with all applicable food safety and labeling regulations in Arunachal Pradesh.
2. Menu and Pricing** 2.1. **Menu Accuracy:** You are solely responsible for ensuring the accuracy of your menu displayed on the App, including item descriptions, ingredients, portion sizes, and any allergen information. You must promptly update your menu to reflect any changes in availability, ingredients, or pricing. 2.2. **Pricing:** You will determine the pricing for your menu items. You agree that the prices displayed on the App will be inclusive of all applicable taxes unless otherwise clearly stated. ApZippy may charge a commission or other fees based on the agreed-upon terms in your separate agreement with ApZippy. 2.3. **Price Changes:** You reserve the right to change your menu prices at any time. However, you must ensure that the prices are updated on the App in a timely manner. ApZippy will not be responsible for discrepancies between the prices displayed on the App and any other pricing you may have.
3. Order Processing and Fulfillment** 3.1. **Order Acceptance:** When a user places an Order for your food through the App, you will receive notification of the Order. You are responsible for promptly reviewing and accepting or rejecting the Order based on your current capacity and availability. 3.2. **Order Preparation:** Upon accepting an Order, you agree to prepare the food and beverages in a timely manner, adhering to all food safety and hygiene standards as mandated by the Food Safety and Standards Authority of India (FSSAI) and any other relevant authorities in Arunachal Pradesh. 3.3. **Packaging:** You are responsible for properly packaging the Order to maintain food quality and prevent tampering during delivery. Packaging should comply with applicable regulations and be suitable for transportation. You should also comply with any applicable laws prohibiting the use of single-use plastics in packaging. 3.4. **Order Handover:** Once the Order is ready, you will make it available for pickup by the designated Delivery Partner. You are responsible for ensuring that the correct Order is handed over to the correct Delivery Partner. 3.5. **Order Issues:** You are responsible for addressing any issues related to the preparation or quality of the food in the Order. You agree to cooperate with ApZippy and the user to resolve any such issues in a fair and timely manner.
4. Payments to Restaurants** 4.1. **Payment Processing:** ApZippy will facilitate the collection of payments from users for Orders placed with your Restaurant through the App. The payment terms and schedule for disbursing payments to you will be outlined in your separate agreement with ApZippy. 4.2. **Commission and Fees:** ApZippy reserves the right to deduct commissions, platform fees, and any other applicable charges from the payments collected on your behalf, as per your agreement. 4.3. **Payment Disputes:** In the event of any payment disputes or refunds, ApZippy will work to resolve the issue in accordance with our policies and your agreement. You agree to cooperate with ApZippy in resolving such matters.
5. Restaurant Responsibilities and Warranties** 5.1. **Compliance with Laws:** You represent and warrant that you hold all necessary licenses, permits, and certifications required to operate your restaurant and sell food and beverages in Arunachal Pradesh, India, and that you will comply with all applicable laws, regulations, and standards, including but not limited to food safety, hygiene, and labeling requirements. 5.2. **Food Quality and Safety:** You are solely responsible for the quality, safety, and freshness of the food and beverages you offer through our Services. You agree to maintain high standards of food preparation and handling. 5.3. **Customer Service:** You are expected to provide a high level of customer service and to address any complaints or issues raised by users in a professional and timely manner, in coordination with ApZippy's customer support. 5.4. **Indemnification:** You agree to indemnify, defend, and hold harmless ApZippy, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to the food and beverages you provide, your Restaurant's operations, or your breach of these Seller Terms or any applicable laws or regulations.
6. Termination** 6.1. **Termination by ApZippy:** ApZippy reserves the right to suspend or terminate your participation as a seller on our Services at any time, with or without cause, and without prior notice or liability. Reasons for termination may include, but are not limited to, violation of these Terms, negative user feedback, failure to meet quality or service standards, or changes in ApZippy's business operations. 6.2. **Termination by Restaurant:** You may terminate your participation as a seller on our Services upon providing [Specify notice period, e.g., 30 days] written notice to ApZippy, subject to the terms of your separate agreement. 6.3. **Effect of Termination:** Upon termination, your Restaurant's profile will be removed from the App, and you will cease to receive new Orders through our Services. Any outstanding payments will be processed in accordance with your agreement.
7. Relationship of Parties** You acknowledge and agree that your relationship with ApZippy is that of an independent contractor. Nothing in these Terms or your agreement shall be construed as creating a partnership, joint venture, employment, franchise, or agency relationship between you and ApZippy. You are solely responsible for the operation of your restaurant and the fulfillment of Orders.
8. Confidentiality** You agree to maintain the confidentiality of any proprietary information or data disclosed to you by ApZippy and not to use such information for any purpose other than as necessary to fulfill your obligations under these Terms.
9. Amendments to Seller Terms** ApZippy reserves the right to modify these Seller Terms at any time by posting the revised Terms on the Site or App or by providing notice to you. Your continued participation as a seller after the posting of revised Terms or receipt of notice constitutes your acceptance of the changes. It is your responsibility to review these Seller Terms periodically for any updates or modifications. By agreeing to these Terms, you acknowledge that you have read, understood, and agree to be bound by these Seller Terms in addition to the general ApZippy Terms of Service.
